Raq.com Terms of Service

These Terms of Service (Terms) govern your access to and use of the Raq.com website, applications, features, tools, modules, APIs, and related services (together, the Services).

2. Acceptance and scope
By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
These Terms apply to all current and future Services, including any new tools, modules, features, or updates we introduce.
If you use the Services on behalf of a business or other organisation, you confirm you have authority to bind it, and "you" includes that organisation.
3. Definitions
- Account: your user account and, where applicable, your organisation workspace.
- Content: anything you submit to or generate via the Services, including prompts, text, files, images, documents, links, data, signatures, messages, and outputs.
- Output: results generated by the Services from your inputs (including AI generated content).
- Credits: prepaid usage units that may be required to use certain tools or features.
- Subscription: a recurring plan that may include usage allowances, including credits.
4. Accounts, security, and access
You must provide accurate information, keep it up to date, and keep your login details confidential. You are responsible for all activity under your Account, including actions by team members and authorised users.
You must promptly notify us of any unauthorised use or security incident affecting your Account.
5. Licence and permitted use
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes (or personal use where permitted), in accordance with these Terms.
You must not:
- reverse engineer, decompile, bypass, or interfere with the Services or security measures
- access the Services via automated means (bots, scrapers, crawlers) except where we expressly allow it
- use the Services to build, train, benchmark, or improve a competing product or model (except with our written permission)
- resell, lease, sublicense, or make the Services available to third parties as a service bureau or managed service, except where we explicitly allow it
- attempt to exceed rate limits, usage limits, or any technical restrictions.
6. Acceptable use, abuse, and fair use
You must not use the Services (or allow others to use them) to:
- break any law or regulation, or violate court orders or sanctions
- infringe intellectual property rights, confidentiality, privacy, or data protection rights
- create, upload, store, transmit, or distribute unlawful, harmful, deceptive, hateful, harassing, violent, or sexually exploitative content
- send spam, phishing, scams, malware, or facilitate unauthorised access to systems
- perform vulnerability scanning or destructive testing without proper authorisation
- generate or distribute misleading content intended to deceive others (including impersonation)
- interfere with or disrupt the Services, our systems, or other users.
Fair use and rate limits: We may apply rate limits, throttling, usage caps, or other controls to protect the Services and other users. If we believe your usage is excessive, abusive, or risks the platform (even if not expressly prohibited), we may suspend, restrict, or require you to upgrade, purchase additional Credits, or reduce usage.
Promotional and bonus features: From time to time we may offer promotional benefits, bonus allowances, unlimited usage tiers, or other enhanced features (together, Promotional Features). These are privileges, not entitlements, and are subject to fair and reasonable use. We reserve the right to modify, cap, suspend, or withdraw Promotional Features at any time, without prior notice, if we determine (in our sole discretion) that your usage is:
- disproportionate to typical user behaviour
- primarily automated, bulk, or programmatic in nature (unless expressly permitted)
- intended to exploit, game, or circumvent the spirit of the offer
- causing or likely to cause degradation, cost exposure, or risk to the platform or other users.
Withdrawal of Promotional Features does not affect your underlying Account or paid entitlements, and is not grounds for refund.
7. Your Content, responsibility, and permissions
You retain ownership of your Content. You grant us a worldwide, non-exclusive licence to host, store, back up, reproduce, transmit, display, and otherwise process your Content only as necessary to provide, secure, and improve the Services, comply with law, and enforce these Terms.
You are solely responsible for:
- the legality, quality, and accuracy of your Content and Outputs you use or share
- ensuring you have all rights, permissions, and lawful bases to upload, process, and share Content (including personal data, confidential information, and third-party materials)
- maintaining appropriate backups of your Content.
We may remove or disable access to any Content (without notice) if we believe it breaches these Terms, is unlawful, or creates risk or harm.
8. AI and generated Outputs
Some tools use AI or automated processing. You understand and agree:
- Outputs may be inaccurate, incomplete, misleading, or not unique
- you must independently review and verify Outputs before relying on them
- the Services do not provide legal, financial, medical, or other regulated professional advice
- you are responsible for how you use Outputs, including ensuring compliance with advertising, consumer protection, and sector-specific rules.
Sensitive data: Unless we explicitly agree otherwise in writing, you should not submit special category data (for example health data), criminal offence data, or highly sensitive confidential information to AI tools.
9. Community, collaboration, and public sharing
If the Services allow posting to community feeds, shared spaces, public pages, widgets, or links, you control what you share. You understand that Content you publish in these areas may be visible to others and may be copied, shared, or indexed.
You must not post content that violates these Terms. We may moderate, remove, or restrict community features at any time.
10. E-signatures, documents, and audit trails
If you use e-sign or document workflow tools:
- you are responsible for ensuring the process meets your legal and compliance requirements (including identity checks, consent, record keeping, and enforceability)
- we do not guarantee any document will be legally effective or enforceable in any jurisdiction
- you are responsible for obtaining consent from recipients and ensuring your use complies with applicable e-signature laws and regulations.
11. Third-party services and links
The Services may integrate or interoperate with third-party services (for example payment processors, AI model providers, hosting providers) or link to third-party sites. We are not responsible for third-party services, and your use of them may be governed by their own terms and policies.
12. Fees, Credits, subscriptions, and taxes
Some features require payment, Credits, or a Subscription.
- Pricing and changes: Prices, credit costs, and plan features may change. We will apply changes prospectively.
- Credits: Credits are usage units, not currency. Unless required by law, Credits are non-refundable, non-transferable, and have no cash value. Any expiry will be stated at purchase or in-product.
- Subscriptions: Subscriptions may renew automatically until cancelled. Cancellation generally takes effect at the end of the current billing period unless stated otherwise.
- Taxes: Prices may exclude taxes unless stated. You are responsible for any applicable taxes, duties, or similar charges.
Refunds: Except where required by law (including consumer law where applicable), payments are non-refundable.
13. Intellectual property
We and our licensors own all intellectual property rights in the Services, including software, templates, designs, branding, and underlying technology.
As between you and us:
- you own your inputs and Content you provide
- to the extent we have rights in Outputs that can be assigned, we assign those rights to you on creation
- you acknowledge Outputs may be similar or identical to outputs provided to other users.
You must not remove proprietary notices.
14. Feedback
If you provide suggestions, feedback, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without restriction or compensation.
15. Suspension and termination
We may suspend or terminate your access immediately if:
- you breach these Terms
- required payments fail
- your use creates risk, harm, or legal exposure
- we are required to do so by law or regulators.
You may stop using the Services at any time. Termination does not affect accrued rights, payment obligations, or clauses intended to survive (including IP, disclaimers, liability limits, and indemnities).
16. Disclaimers
The Services are provided as is and as available. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of satisfactory quality, fitness for purpose, non-infringement, and availability.
We do not guarantee uninterrupted operation, error-free Outputs, or that the Services will meet your requirements.
17. Limitation of liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot be excluded by law.
Subject to the above, to the fullest extent permitted by law:
- we are not liable for indirect, consequential, special, exemplary, or punitive losses, or for loss of profits, revenue, business, goodwill, data, or anticipated savings
- our total liability arising out of or relating to the Services will not exceed the greater of:
- the total fees you paid to us in the 12 months before the event giving rise to the claim, or
- £100.
If you are a consumer, nothing in these Terms affects your statutory rights, and some limitations may not apply to you.
18. Indemnity
You will indemnify and hold harmless Vu Ai Ltd, its directors, officers, employees, and suppliers against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or related to:
- your Content, your use of Outputs, or anything you submit, publish, or send using the Services
- your breach of these Terms
- your violation of any law or third-party rights
- your use of third-party services integrated with the Services.
19. Privacy and data protection
Our Privacy Policy explains how we process personal data. Where you upload or process personal data of others, you confirm you have a lawful basis and required notices and consents. Where required, a data processing addendum may be made available on request.
20. Changes to these Terms
We may update these Terms from time to time. The updated Terms will apply from the date they are posted (or the later date stated). If you continue using the Services after changes take effect, you accept the updated Terms.
21. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, except where consumer law in your country requires otherwise.
22. Miscellaneous
- Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations.
- Severability: If any part is unenforceable, the rest remains in effect.
- Entire agreement: These Terms and any referenced policies form the entire agreement regarding the Services.
